Terms of Service

These Terms govern the use of Zentro provided by SPEUX EIRL (Tax ID 20607072168) (“Zentro”, “we”) to the user or entity that creates an account (“Customer”). By using the service you accept these Terms.
1. Acceptance
Access to the platform implies full acceptance of these Terms and of the Privacy Policy. If you do not agree, do not use the service.
2. Service description
Zentro is a software-as-a-service (SaaS) that allows e-commerce businesses to manage Cash on Delivery orders: import leads from Shopify and other sources, assign orders to sellers, sync shipments with couriers, and visualize operational KPIs.
3. Customer account and responsibilities
- The Customer is responsible for the accuracy of the data they register.
- The Customer must keep credentials confidential and immediately notify any unauthorized access.
- The Customer is responsible for legal compliance regarding the processing of their end-customers' personal data (Peru Law 29733 and other applicable rules in their jurisdiction).
- The Customer warrants having authorization to connect third-party accounts (Shopify, Google, Meta, TikTok) and to share them with Zentro.
4. Acceptable use
The Customer agrees NOT to:
- Use the service for illegal activities or activities that infringe third-party rights.
- Reverse engineer, copy, or redistribute the software.
- Deliberately overload the platform (rate-limit abuse, unauthorized mass scraping).
- Access other customers' accounts or attempt to break multi-tenant isolation.
5. Plans, payments, and billing
Each plan's commercial terms are published in the platform and accepted upon subscription. Payments are processed as agreed at subscription. Non-payment enables service suspension after a 7-day email notice.
6. Intellectual property
The software, code, designs, brand, and documentation of Zentro are the exclusive intellectual property of SPEUX EIRL or its licensors. The Customer receives a non-exclusive, non-transferable, limited license to use the service during the subscription term.
7. Customer data
The Customer retains ownership of data submitted to the platform. Zentro accesses such data exclusively to provide the service, under the terms in the Privacy Policy and, when applicable, the Data Processing Agreement (DPA).
8. Availability and limitation of liability
Zentro provides the service “as is” and does not guarantee uninterrupted availability or absence of errors. We make commercially reasonable efforts to maintain 99.5% monthly uptime.
To the maximum extent permitted by law, Zentro's aggregate liability shall not exceed the amount actually paid by the Customer in the twelve (12) months preceding the triggering event.
9. Termination
The Customer may cancel the subscription at any time from the platform or in writing to support. Zentro may suspend or terminate the service in case of material breach, fraud, or misuse. Upon termination, Customer data is deleted within 30 days, unless retention is legally required.
10. Changes to the service and these Terms
Zentro may modify the service or these Terms. Material changes will be notified with at least 30 days' prior notice via email or platform notice. Continued use after notice implies acceptance of the new Terms.
11. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Perú. Any dispute shall be submitted to the competent courts of Lima, Peru.
